TERMS OF USE

This website (the “Site”) is operated by SDR Retail Consulting, LLC (“SDR Retail,” “we,” “us,” or “our”). Throughout the Site, the terms “you” and “your” refer to any visitor, user, or purchaser. SDR Retail offers the Site, including all information, tools, products, and services (collectively, the “Services”) conditioned upon your acceptance of these Terms of Use and all policies referenced or linked here.

By accessing the Site or purchasing or downloading a digital product, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree, do not use the Site or Services.

New features, tools, or content added to the Site are also subject to these Terms. We may update or replace any part of the Terms by posting changes to this page. Your continued use of the Site after any change constitutes acceptance of the revised Terms.

The Site is hosted on Squarespace, Inc. Squarespace provides the online platform that allows us to display content and sell digital products to you.

 

1. ELIGIBILITY & ONLINE CONDUCT

  1. You confirm you are at least the age of majority in your jurisdiction (18 in most U.S. states) or have obtained parental consent to use the Site.

  2. You will not use the Site for any unlawful purpose or in violation of any applicable law.

  3. You will not introduce malicious code, attempt unauthorized access, or otherwise interfere with the Site’s operation.

  4. A breach of these Terms may result in immediate termination of access without notice.

2. GENERAL CONDITIONS

  • We reserve the right to refuse or terminate Service to anyone, for any reason, at any time.

  • Non‑credit‑card data may travel unencrypted over networks; credit‑card details are always encrypted by our payment processor.

  • You may not reproduce, sell, or exploit any part of the Service without our express written permission.

  • Headings in these Terms are for convenience only and do not affect interpretation.

3. INFORMATION ACCURACY

Content on the Site is provided for general information only. While we strive for accuracy, we make no warranties that information is complete, current, or error‑free. Reliance on Site content is at your own risk.

4. SERVICE & PRICE CHANGES

Prices, available products, and features may change without notice. We may modify or discontinue the Service (or any part of it) at any time without liability.

5. DIGITAL PRODUCTS & LICENSE

  1. Nature of Products. All deliverables are digital (e.g., slide templates, quick‑reference guides, video courses). No physical goods are shipped.

  2. License. Upon purchase, we grant you a non‑exclusive, non‑transferable, revocable license to use the digital product for your personal or internal business purposes only, as described in our Digital Use Guidelines. Redistribution, resale, or public posting is prohibited unless expressly allowed.

  3. Refunds & Satisfaction Guarantee. All digital sales are governed by our Refund & Return Policy, which includes a 7‑day Satisfaction Guarantee and details of your EU/UK statutory right of withdrawal. If the policy grants you a refund, the product license ends immediately and you must delete local copies.

  4. Quality Disclaimer. We do not guarantee that any digital product will meet your expectations or that errors will be corrected, although we welcome feedback and aim to improve.

  5. EU/UK Right of Withdrawal. If you are a consumer habitually resident in the European Union or United Kingdom, you have a statutory right to withdraw from the purchase contract within 14 days of purchase unless you expressly consent to immediate delivery of the digital content and acknowledge that you lose the right of withdrawal once the download or streaming has begun. We obtain this consent at checkout. To exercise the right of withdrawal before download/streaming begins, email support@sdrretail.com with your order details. We will refund any payments received within 14 days using the same payment method.

6. BILLING & ACCOUNT INFORMATION.

You agree to provide current, complete, and accurate purchase information so we can process transactions and contact you as needed. We reserve the right to cancel or limit orders that, in our judgment, appear fraudulent or made by resellers.

7. OPTIONAL TOOLS & INTEGRATIONS

We may provide access to third‑party tools “as is” and without warranties. Your use of such tools is at your own risk, and you should review the third‑party’s terms.

8. THIRD‑PARTY LINKS

Links to third‑party sites are provided for convenience. We are not responsible for any third‑party content, products, or services. Complaints regarding third‑party products should be directed to the third party.

9. USER CONTENT & FEEDBACK

Any ideas, comments, or other materials (“Feedback”) you submit may be used by SDR Retail without restriction or compensation. Feedback must not violate the rights of others or contain unlawful content. We reserve the right (but not the obligation) to remove objectionable content.

10. PRIVACY

Your submission of personal information is governed by our Privacy Policy.

11. ERRORS & OMISSIONS

We may correct errors or update information at any time without prior notice. No stated update date implies all information is updated.

12. PROHIBITED USES

In addition to other prohibitions in these Terms, you may not:
(a) violate any law;
(b) infringe intellectual‑property rights;
(c) harass or discriminate;
(d) upload malicious code;
(e) engage in data scraping or spamming;
(f) distribute or resell our digital products beyond the permitted license;
(g) interfere with security features.
Violation may result in immediate termination.

13. WARRANTY DISCLAIMER & LIMITATION OF LIABILITY

The Site and all Services are provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, SDR Retail disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

In no event will SDR Retail or its affiliates be liable for any indirect, incidental, special, or consequential damages, even if advised of the possibility. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

14. INDEMNIFICATION

You agree to indemnify and hold SDR Retail, its owners, employees, and partners harmless from any claim or demand arising out of your breach of these Terms or violation of any law or third‑party right.

15. SEVERABILITY

If any provision of these Terms is unlawful or unenforceable, that provision is deemed severed, and the remaining provisions remain in force.

16. TERMINATION

These Terms remain effective until terminated by either party. We may terminate or suspend access immediately for any breach. Provisions that by nature should survive (e.g., license restrictions, disclaimers, limitations of liability) will survive termination.

17. ENTIRE AGREEMENT

These Terms, together with any policies or notices posted on the Site (including the Return & Refund Policy, Satisfaction Guarantee, and Digital Use Guidelines), constitute the entire agreement between you and SDR Retail and supersede prior agreements.

18. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict‑of‑law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, NY.

If you reside in the EU or UK:

  • Prices & Taxes. Prices displayed on product pages include any applicable value‑added tax (VAT) unless expressly stated otherwise.

  • Functionality & Compatibility. Essential functionality and compatibility requirements for each digital product are described on its product page.

  • ODR Platform. The European Commission offers an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged and do not agree to participate in out‑of‑court dispute resolution before a consumer arbitration board.

  • Mandatory Rights. Any mandatory consumer‑protection rights of your country of habitual residence remain unaffected by the Governing Law clause in Section 18.

  • Personal‑data processing. Your personal data will be processed in accordance with our Privacy Policy, including the GDPR/UK GDPR rights described in Section 10.

19. CHANGES TO TERMS CHANGES TO TERMS

You may review the most current version of these Terms at any time on this page. We reserve the right to update or replace any part of the Terms by posting revisions. It is your responsibility to check periodically. Continued use after changes constitutes acceptance.
